“EKTER SOCIETE ANONYME TECHNICAL – CONSTRUCTION – REAL ESTATE – HOTEL –

COMMERCIAL – INDUSTRIAL COMPANY”

EKTER S.A. ("EKTER" or the "Company") announces, further to its announcement dated 14.07.2025, that on 18.07.2025, the merger by absorption of its wholly owned (nonlisted) subsidiary under the name “IFIKLIS SINGLE-MEMBER S.A. TECHNICAL CONSTRUCTION TOURISM HOTEL SHIPPING COMMERCIAL COMPANY” (hereinafter referred to as “Ifiklis”) by the Company was completed, with the registration in the General Commercial Registry (G.E.MI.) in accordance with Article 18, paragraph 1 of Law 4601/2019, of Decision No. 3674714AP/18.07.2025 of the Ministry of Development, General Secretariat of Commerce, Listed Companies Department (with Registration Code Number 5436032/18.07.2025 and Announcement Protocol Number: 3674714/18.07.2025), by which the merger by absorption of Ifiklis by the Company was approved, pursuant to the resolutions dated 10.07.2025 of the Boards of Directors of both the Company and Ifiklis, the provisions of Articles 6-21 and 30-38 of Law 4601/2019, Law 4548/2018, Article 50 of Law 5162/2024, and Notarial Deed No. 1680/10.07.2025 executed by Athens Notary Public Sevasti Konstantinou Zacharaki.
