Notification of a significant change in the percentage of voting rights, according to Law 3556/2007

EKTER S.A., in accordance with the provisions of Law 3556/2007 and the relevant implementing decisions of the Board of Directors of the Hellenic Capital Market Commission, as applicable, following the TR-1 notification forms received on 31.12.2024, informs investors that: 

• Mr. Athanasios Sipsas, shareholder and Chairman of the Board of Directors / executive member of the Company, (liable person for disclosure), reached the threshold of 15% of the voting rights in the Company. In particular, his direct percentage reached 19,64% of the total voting rights in the Company, corresponding to 5.278.682 ordinary registered shares.

The above change occurred following the commencement of trading of the 4.378.682 new ordinary registered shares of the Company resulting from the share capital increase, due to the merger by acquisition of the non-listed company under the name "ENERGEIAKOS KOMVOS ANONYMI ENERGEIAKI - ANAPTYXIAKI - EPENDYTIKI ETAIREIA" according to the exchange ratio determined for the shareholders of the merged companies.

Prior to the acquisition of the new ordinary registered shares of the Company, Mr. Athanasios Sipsas directly held 900.000 voting rights (4,00% of the total voting rights).

• the company NIKIAS S.A., an affiliated legal entity with Mr. Konstantinos Sipsas Bouzas and Mr. Konstantinos Stoubos - CEO, executive member of the Board of Directors / Vice Chairman, non-executive member of the Board of Directors of the Company, respectively (liable persons for disclosure), has fallen below the limit of 10% of the voting rights in the Company.

Specifically, the direct percentage of NIKIAS S.A. was set at 8,77% of the total voting rights in the Company, corresponding to 2.358.600 ordinary registered shares.

The above change was caused by the increase in the Company's share capital, as a consequence of the merger by acquisition of the non-listed company under the name "ENERGEIAKOS KOMVOS ANONYMI ENERGEIAKI - ANAPTYXIAKI - EPENDYTIKI ETAIREIA".

Prior to the increase of the Company's share capital, NIKIAS S.A. directly held 2.358.600 voting rights (10,48% of the total voting rights).
